Terms of Service — Bottleneck.io

1. Agreement to Terms

By accessing or using the services, website, or platform (collectively, the "Service") operated by Solve Your Bottleneck LLC ("Bottleneck," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms apply to all users, including clients, visitors, and anyone who accesses or uses the Service.

Bottleneck provides execution partner services to help businesses identify operational bottlenecks, develop solutions, and implement measurable fixes. Our services include:

Diagnostic assessments to identify business bottlenecks
Strategic planning and solution design
Pilot implementation and execution
Ongoing support and optimization
Access to our platform and tools

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without prior notice.

3. Use of Service

3.1 Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

Violate any applicable laws or regulations
Infringe upon the rights of others
Transmit any harmful, offensive, or illegal content
Attempt to gain unauthorized access to the Service or related systems

4. Service Engagements

4.1 Engagement Terms

Service engagements are governed by separate written agreements or statements of work ("SOW") that specify the scope, deliverables, timeline, and fees for each engagement. These Terms supplement, but do not replace, the terms of any SOW.

4.2 Pilot Engagements

Many of our engagements begin with a fixed-scope pilot to validate ROI before committing to larger projects. Pilot terms, including scope, duration, and pricing, will be specified in the applicable SOW.

4.3 Payment Terms

Payment terms, including fees, invoicing, and payment schedules, will be specified in your SOW. Unless otherwise agreed, fees are due according to the payment schedule in your SOW.

5. Intellectual Property

5.1 Our Intellectual Property

The Service, including all content, features, functionality, and technology, is owned by Bottleneck and protected by copyright, trademark, and other intellectual property laws. You may not use our intellectual property without our prior written consent.

5.2 Your Content

You retain ownership of any content, data, or materials you provide to us. By providing content to us, you grant us a license to use, modify, and display such content as necessary to provide the Service.

5.3 Deliverables

Upon full payment, you will receive ownership of custom deliverables created specifically for you as specified in your SOW. We retain rights to any pre-existing tools, methodologies, or general knowledge used in creating deliverables.

6. Confidentiality

We understand that you may share confidential business information with us. We will maintain the confidentiality of your information in accordance with applicable confidentiality agreements and applicable law. You agree to maintain the confidentiality of any proprietary information we share with you.

7. Disclaimers and Limitations

7.1 Service Availability

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that the Service will be uninterrupted, error-free, or secure.

7.2 Results

While we work to deliver measurable results, we cannot guarantee specific outcomes. Results depend on various factors including your implementation, market conditions, and other variables beyond our control.

7.3 Limitation of Liability

To the maximum extent permitted by law, Bottleneck shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

8. Indemnification

You agree to indemnify, defend, and hold harmless Bottleneck and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or relating to your use of the Service, violation of these Terms, or infringement of any rights of another.

9. Termination

We may terminate or suspend your access to the Service immediately, without prior notice, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will cease immediately.

You may terminate your use of the Service at any time by discontinuing use and, if applicable, canceling your account in accordance with your SOW.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the courts of Albany County, New York.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.

12. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
